Agreement Overview

Welcome! These Terms of Service constitute a legally binding agreement between you (the "Client") and me as an independent freelance web developer (the "Developer"). By engaging my services, requesting a quote, or proceeding with any project, you acknowledge that you have read, understood, and agree to these terms.

These terms govern all web development services I provide, including but not limited to website design, development, maintenance, consulting, and related technical services. Please review these terms carefully before we begin working together.

As an independent web developer, I offer the following professional services:

Website Development

Custom website design and development using modern technologies including React, Next.js, HTML, CSS, JavaScript, and various frameworks tailored to your needs.

Web Application Development

Building interactive web applications, dashboards, e-commerce platforms, and custom solutions with responsive design and optimal performance.

Website Maintenance & Updates

Ongoing support, bug fixes, content updates, security patches, and performance optimization for existing websites.

Technical Consulting

Expert advice on technology stack selection, architecture planning, best practices, and strategic guidance for your web projects.

The specific scope of work for each project will be defined in a separate project agreement or proposal that outlines deliverables, timelines, and costs.

Process

Project Process & Timeline

Here's how we'll work together to bring your project to life:

Initial Consultation

We'll discuss your requirements, goals, and vision. I'll ask questions to understand your needs and provide initial recommendations.

Proposal & Agreement

I'll provide a detailed proposal including scope, timeline, deliverables, and pricing. Once approved and deposit received, we'll begin work.

Development & Updates

I'll work on your project with regular progress updates and milestone reviews. You'll have opportunities to provide feedback throughout the process.

Review & Revisions

You'll review the completed work and request revisions within the agreed scope. I'll make necessary adjustments to meet your requirements.

Delivery & Launch

Final delivery of all files, documentation, and deployment. I'll provide support during launch and a handover period as agreed.

Timeline estimates are based on agreed scope and timely client feedback. Delays in providing materials, feedback, or approvals may extend the project timeline accordingly.

Payment

Payment Terms

Clear and fair payment terms ensure a smooth working relationship:

Payment Structure

Projects typically require a 50% deposit upfront with the remaining 50% due upon completion. For larger projects, milestone-based payments may be arranged.

Accepted Methods

I accept payment via bank transfer, PayPal, Stripe, or other agreed payment processors. Payment details will be provided in the invoice.

Invoice Terms

Invoices are due within 7 days of receipt unless otherwise agreed. Late payments may incur a 5% monthly interest charge.

Additional Work

Work beyond the agreed scope will be quoted separately and requires approval before proceeding. Hourly rates apply for out-of-scope requests.

Important: Work will not commence until the initial deposit is received. Final files and source code will be released only after full payment is received.

Client Duties

Client Responsibilities

To ensure project success, clients are expected to:

  • Provide clear project requirements, specifications, and any necessary materials promptly
  • Supply content (text, images, logos, etc.) in agreed formats and timelines
  • Provide timely feedback and approvals at project milestones
  • Ensure access to necessary accounts, hosting, domains, and third-party services
  • Have legal rights to all materials provided (images, content, branding, etc.)
  • Communicate clearly and maintain professional correspondence throughout the project
  • Make timely payments according to the agreed schedule

Failure to fulfill these responsibilities may result in project delays, additional charges, or project suspension until issues are resolved.

Ownership

Intellectual Property & Ownership

Understanding ownership rights is crucial for both parties:

Final Deliverables

Upon full payment, you receive full ownership rights to the final website/application and custom code developed specifically for your project. This includes the right to modify, distribute, and use the deliverables as you see fit.

Third-Party Components

The project may include third-party libraries, frameworks, plugins, or open-source components governed by their respective licenses. These remain under their original licenses and are not transferred to you.

Pre-existing Materials

Any code, templates, tools, or techniques I developed prior to or independent of your project remain my intellectual property. You receive a license to use them within your project.

Portfolio Rights

I reserve the right to showcase the project in my portfolio, website, and marketing materials unless a non-disclosure agreement specifies otherwise.

You retain all rights to your content, branding, logos, and materials provided to me for the project.

Revisions

Revisions & Changes

My revision policy ensures quality while managing scope:

Included Revisions

Each project includes a specified number of revision rounds (typically 2-3 rounds) for refinements and adjustments within the agreed scope.

Revisions must address items within the original scope and requirements. Major redesigns or new features are considered scope changes.

Scope Changes

Changes that add new features, pages, or functionality beyond the original agreement will be quoted separately and require a change order before proceeding.

Additional Revisions

Revision requests beyond the included rounds will be charged at my hourly rate. I'll provide an estimate before proceeding with additional revisions.

Tip: To make the most of your included revisions, consolidate feedback into comprehensive reviews rather than submitting changes piecemeal.

Warranties

Warranties & Limitations

I stand behind my work while setting reasonable expectations:

Quality Assurance

I warrant that all work will be performed professionally and will function as specified in the agreed scope. I'll fix any bugs or errors discovered within 30 days of delivery at no additional cost.

Browser Compatibility

Websites will be tested on major modern browsers (Chrome, Firefox, Safari, Edge) and devices (desktop, tablet, mobile). Legacy browser support requires specific agreement.

Limitations

I cannot guarantee specific search engine rankings, traffic numbers, conversion rates, or business outcomes. I'm not responsible for issues caused by third-party services, hosting providers, or client modifications after delivery.

Liability

My total liability for any claims related to the project is limited to the amount you paid for the services. I'm not liable for indirect, incidental, or consequential damages.

Termination

Termination & Cancellation

Either party may terminate the agreement under the following conditions:

Client Termination

You may terminate the project at any time with written notice. You'll be billed for all work completed up to the termination date plus any non-refundable expenses. The initial deposit is non-refundable.

Developer Termination

I may terminate the agreement if payment terms are not met, required materials are not provided, or if continued work becomes impossible or impractical. You'll receive all work completed to date.

Upon Termination

All outstanding invoices become immediately due. Work completed will be delivered after final payment. Neither party will have further obligations except for confidentiality and payment terms.
